Terms of Service

Welcome to Stay Keen. Stay Keen is a marketplace that connects people who want to learn (“learners”) with independent coaches for 1:1 video sessions. The platform is operated by Vintrex Labs, an independent business operating from Italy (“we”, “us”). You can reach us any time at admin@vintrexlabs.com.

By creating an account or using Stay Keen you agree to these Terms. If you do not agree, please do not use the platform.

1. What Stay Keen is (and isn’t)

Stay Keen provides the technology that lets learners find coaches, book sessions, hold video calls, message each other, and pay. Coaches are independent professionals, not our employees, agents, or representatives. The coaching relationship — including the content, quality, and outcome of any session — is strictly between the learner and the coach. We do not supervise sessions, we do not verify the accuracy of anything said in them, and we make no promises about results. Coach profiles, rates, availability, and session content are set by coaches themselves.

2. Accounts

You must be at least 18 years old to use Stay Keen. You agree to provide accurate information, keep your credentials secure, and accept responsibility for activity on your account. One person may hold both a learner and a coach role on the same account.

3. Bookings and payments

All payments are processed by Stripe. We never see or store your full card details; payment information is handled by Stripe under Stripe’s own terms and privacy policy. Coaches receive payouts through Stripe Connect. Stay Keen retains a platform fee (currently 15%) from each paid session; the remainder is transferred to the coach after the session has taken place. Prices shown at checkout are final and set by the coach.

A booking is confirmed only once payment has completed (free intro calls are confirmed immediately). Unpaid bookings are automatically released after a short hold.

4. Refunds and disputes

Refunds are not automatic and are granted at our sole discretion. If something went wrong with a session — a coach didn’t show up, a call failed, or the session materially wasn’t what was offered — email admin@vintrexlabs.com within 7 days of the scheduled session and we will look into it. Where a refund is granted, it is processed through Stripe back to your original payment method; timing then depends on your bank.

Please contact us before opening a card chargeback — most issues resolve faster that way. Any dispute you have with a coach or another user should also be reported to admin@vintrexlabs.com. We may assist in resolving disputes between users but are under no obligation to do so, and we are not a party to the agreement between learner and coach.

Nothing in this section limits any non-waivable rights you hold under the consumer protection laws of your country of residence.

5. Sessions and recordings

Sessions may be recorded and transcribed to produce session notes, but only when recording is enabled — both learners and coaches can control recording in their settings and per session. By joining a session with recording enabled you consent to that recording. See the Privacy Policy for how recordings and transcripts are handled.

6. Conduct

You agree not to:

use Stay Keen for anything unlawful, harmful, or deceptive;
harass, threaten, or discriminate against other users;
circumvent the platform — soliciting or accepting payment for platform-originated sessions outside Stay Keen;
misrepresent your identity, credentials, or experience;
scrape, probe, overload, or otherwise interfere with the service;
upload content you have no right to share.

We may suspend or terminate accounts that violate these Terms, and remove content at our discretion. Users can report coaches and messages in-app; reports are reviewed and can also be sent to admin@vintrexlabs.com.

7. Content and reviews

You keep ownership of content you post (profiles, messages, requests, reviews). You grant us a non-exclusive, worldwide licence to host and display it as needed to run the platform. Reviews must reflect a genuine session experience; reviews are held briefly before publishing and may be removed if they violate these Terms.

8. Disclaimers

Stay Keen is provided “as is” and “as available”, without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted or error-free, that any coach is suitable for your needs, or that any session will produce a particular result. Advice given in sessions is the coach’s own and is not vetted, endorsed, or guaranteed by us.

9. Limitation of liability

To the maximum extent permitted by applicable law, Vintrex Labs is not liable for indirect, incidental, special, or consequential damages, loss of profits, or loss of data arising from your use of Stay Keen, nor for the acts or omissions of coaches, learners, or other users. Our total aggregate liability for any claim related to the platform is limited to the platform fees we actually received from you in the 12 months before the claim arose.

Nothing in these Terms excludes liability that cannot be excluded by law, including liability for wilful misconduct or gross negligence, or your mandatory consumer rights.

10. Termination

You can stop using Stay Keen and request deletion of your account at any time by emailing admin@vintrexlabs.com. We may suspend or close accounts that breach these Terms. Sections that by their nature should survive (payments owed, liability limits, disputes) survive termination.

11. Changes

We may update these Terms as the platform evolves. Material changes will be announced on the platform; continuing to use Stay Keen after a change takes effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of Italy. Disputes with us should first be raised at admin@vintrexlabs.com — we genuinely try to fix things — and are otherwise subject to the competent courts of Italy, without prejudice to any mandatory jurisdiction rules that apply to you as a consumer in your country of residence.
